“The Bait Ball”

One of my favorite TV shows are those National Geographic type Documentaries. And the other day one came one about prey fish in the ocean that protect themselves from predators by schooling into a giant “Bait Ball”. A tactic to create a giant group entity, larger than each individual fish to intimidate the predator fish surrounding them.

At first, it looked like a chaotic mass of confusion, without any form or function. But eventually, I realized this instinctual response to a threat, was actually born over millenniums of evolution and created out of a simple need to cooperate for survival.

And more important, I began to see that this strategy was a coordinated into a single effort communicated to each fish through ultra fast telegraphed and received vibrations, giving them the ability to move in tandem, to move away from any threat from any direction, and not just a spasm of the now.

A simple yet effective natural response to change in the everyday life, helping them swim safely thorough the life aquatic.

We often swim alone though the shark infested waters of the business life, but can we learn to become more effective together, and become a larger more successful as a collective? or as a single entity?

Don’t Buy Canadian Listed Shell Firms On The Frankfurt Stock Exchange Unless They Are Reporting!

I don’t know why this keeps going onto deaf ears, or why people keep buying Canadian incorporated firms listed on the Frankfurt Stock Exchange.

Canadian shells traded on the Frankfurt Stock Exchange are a waste of money if you are looking to buy a shell in our opinon, it is one of the reasons Canadian shell prices are lower than European shell prices. The reason for this is that:

-          There is a higher reporting cost, as you have to report to the local commission and SEDAR as a publicly traded company. (If you do not, you are breaking securities regulations according to several popular interpretations of the Law.)

-          Any sale of shares to third parties (that would have a holding period in Canada) that lead to a series of transactions (You sell to Bob, Bob sells to 10 people) is a veiled distribution and considered the distribution of securities without a prospectus, registration, etc. In short term means securities Fraud. This is regardless of whether the shares are sold in Canada or abroad, it’s source is Canadian.

-          Don’t just use any law firm to get advice, use the Canadian best securities firms, such as Clark Wilson and Stikeman Elliot. Most of the firms are bonafied escrow agents and contract law lawyers, and their advice will likely send you into a commission hearing if you make a mistake. Use real firms, get real opinions!

-          Go to a real law firm and ask, “I am a Canadian private company, what obligations do I have to report now that I am listed on the Frankfurt Exchange, to which commission and to which reporting environment do I report my shareholders, sale of shares, and documents. That you understand that all OTCBB companies now have to report in Canada, how does this apply to Frankfurt. Is all the stock free trading? Or are their other rules for restricting it. How can you sell shares, how can you raise money?” Be honest and forthcoming, and explain the financing options offered to your firm. What may work in the UK, US, and Germany for transaction processes most likely DO NOT WORK IN CANADA! Check it out first.

The best advice I can give you if you have a Canadian company publicly traded on the Frankfurt Stock Exchange is:

  • File with SEDAR
  • File with the local securities commission
  • File a prospectus in Canada or the jurisdiction Canadian securities are being sold into at least or both

There is no question that there are many Canadian listed firms on the Frankfurt Stock Exchange, as you can see from the list at the end of this blog, however, half of the providers who build them are just looking for quick fees for listing and don’t use quality lawyers or ask the advice of the local securities commissions. Be Smarter!

Before you acquire any company which is a shell, contact us for verification as to whether it is reporting or not. Take a lawyers opinion from one of the top three firms, the people who know what is really going on and in effect assist in new laws or current interpretations of Law. In active lawyers are great for escrow, but the mandatory amount of time they need to spend per annum specifically catching up on securities law is rarely enough to cover these concerns I share in my opinion above. This is an option.

In this economy you need to be a Thought Leader to become Financed!

If you are not sure what a thought leader is or how to best utilize your market knowledge to socially become the leader in your field, don’t worry you are not alone. Only recently have experts like Shane Gibson of Knowledge Brokers International exposed this idea in books and podcasts. We recommend you listen to his recent thought leadership podcast, http://www.closingbigger.net/2011/03/thought-leadership-in-social-media/. (If you have 7 minutes, listen to him speak and then read the rest of this blog.)

As discussed in our last article, FSE Listings: Finance is where a person creates an environment where an act of faith can be taken, we did not have the chance to discuss the corporate image that investors and people expect to see today. The financer in today’s economy not only look at leaders in business, but leaders that can compete in thought. To create the environment for an act of faith to happen, you must explore how to best be a sought after thought leader in your field.

The topic of thought leadership is overused in social media, but the reality is the application and concept is about making a difference in your community, brand, and business image.

In order for financers to have faith in your ability to succeed, you need to show that you have the capacity to influence others with your thoughts and your business.

In today’s world, before you go to do a presentation on your business, the financer “knows who you are from Google” or other mediums. Whether they are right or wrong, human curators have taken all of this content on the internet and published the thoughts on your field of business before you have been able to present. Often, if your competitor is engaging the finance world as the thought leader, their opinion will be formed and financed on the opinions of someone other than yourself.

We suggest that you be able to look at what is online, what opinions are formed, and consistently filter this and build your own Brand and engage via the web and your presentation to financers as a thought leader.

It is no longer enough to go into a Finance meeting with a business plan built by a well-known firm, or an investment memorandum by a major brokerage firm, the interest and knowledge readily available online is ahead of their thoughts, don’t let them be ahead of yours.

In the podcast by Shane Gibson, he discusses trading and thought leadership. A unique way to communicate to trade on the simplest concepts, from pixels to paperclips, why not shares and finance. Now take these same concepts, and become a leader at doing this with your business.

It is our opinion that you have to be a thought leader and communicator to succeed in finance, not just in social media. His message goes across multiple platforms; we believe you should take it into consideration.

Stock Exchange Listings: FSE Listings versus OTC Listings

Going public on a stock exchange is a rather simple task, it is a matter of making your shares available electronically to individual investors and the public through a series and combination of transfer agents, clearing systems, and brokerage firms, all of which lead back to the stock exchange.

Let’s take as an example a listing on the Frankfurt Stock Exchange.

  1. Incorporate your company and register an ISIN number
  2. Register Your Shares with a transfer agent who can register your shares electronically
  3. Electronically register the shares with the Clearstream trading system
  4. Apply with the issuer data form for listing on the Frankfurt Stock Exchange
  5. Deposit shares of your investors or shareholders into Brokerage Accounts
  6. Trade the shares as a public company

On the Frankfurt Stock Exchange, this takes an average of 3-6 weeks with FSE Listings Inc.

This is the simple how to go public process on the Frankfurt Stock Exchange, but you will need to have a website, a business, and meet the requirements of listing. How do you go public on the US OTC Markets?

  1. File an S1
  2. Register with a transfer agent
  3. Offer shares and register with a Market Maker
  4. Fill in form 15c 211 and file it with the Market Maker
  5. File with FINRA and obtain a symbol
  6. Clear through DTC for trading
  7. Deposit investor shares for trading (Legal Opinions may be required)

OTC Listings take 6-12 months, sometimes much longer due to the US definitions of shell company status.

The Advantage of an FSE Listing over the OTC Listing is that Germany doesn’t have a Shell company definition like the US that prohibits trading and clearing of shares, it doesn’t have the expensive reporting requirements, it doesn’t have the same high maintenance costs and or Sarbanes Oxley requirements. In general, a Frankfurt Listing has access to one of the world’s largest retail investor markets and new companies can successfully list and trade in 3-6 weeks! US listings take months and there is no guarantee of listing due to shell status definitions.
